This Talent Representation Agreement ("Agreement") is entered into between On My Way To The Top, LLC (DBA JAWS MEDIA) ("Agency") and the Talent named below ("Talent").
Agency agrees to represent Talent for the purpose of securing brand opportunities, managing content-based advertising campaigns, and facilitating creative and commercial opportunities.
Agency will: connect Talent with brands and campaigns; utilize Talent's content in advertising campaigns; actively outreach to brands on Talent's behalf; provide opportunities for paid and unpaid shoots.
Talent agrees to: create content as reasonably requested; maintain communication with Agency; notify Agency of any brand inquiries or opportunities; act in good faith in all business dealings.
Content Delivery Standards: Talent agrees to deliver content on agreed timelines; maintain high-quality video/photo production (clear visuals, proper lighting, audible sound); follow provided creative briefs when applicable; submit revisions if reasonably requested; maintain professionalism in all brand-facing content. Failure to meet content standards consistently may result in removal from campaigns or termination of this Agreement.
Payment Schedule: Creator Program payouts processed every 30 days. Flat fee projects paid within 3–5 business days after Agency receives funds. Compensation is only owed once payment has been received by Agency.
Talent grants Agency a worldwide, royalty-free, irrevocable license to use their name, image, likeness, and content for advertising, marketing, client acquisition, and portfolio use.
Talent agrees not to bypass Agency for deals introduced by Agency. For any brand introduced by Agency, Talent agrees not to work directly with that brand outside of Agency for 6 months from date of last engagement. Any work with such brands during this period must go through Agency or be subject to Agency commission.
Talent may work with other brands, provided Agency is informed and Agency commission is honored where applicable.
Participation in Agency shoots is optional. Talent will not be compensated for JAWS MEDIA shoots at this time. Talent may decline participation without penalty.
This Agreement operates on a month-to-month basis. Either party may terminate with 7 days written notice. Agency retains commission rights for deals secured prior to termination.
Talent is an independent contractor and not an employee of Agency. Both parties agree to keep all business, client, and operational information confidential. Agency shall not be liable for any indirect, incidental, or consequential damages. This Agreement is governed by the laws of the State of California. This Agreement constitutes the entire understanding between the parties.
